Terms of Service

1. What KiPay Is

KiPay is a payment infrastructure platform, not a bank or payment processor. We provide API access to M-Pesa services via your own Safaricom shortcode. KiPay does not hold customer funds.

2. Merchant Obligations

By using KiPay you confirm that:

  • Your business is legally registered in Kenya.
  • KYC information you provide is accurate and complete.
  • You will use the API only for lawful payment collection and disbursement.
  • You will not use the sandbox environment for real-money transactions.
  • You will keep your API keys confidential.

3. Fees and Billing

Fees are as described on the Pricing page and confirmed during live activation. Fees are deducted per transaction. Custom pricing requires a separate written agreement.

4. Liability

KiPay is not liable for:

  • Safaricom network downtime or M-Pesa service interruptions.
  • Failed transactions caused by incorrect recipient details you provide.
  • Losses arising from your misuse of the API or compromise of your keys.

KiPay's total liability to you for any claim shall not exceed the fees you paid in the three months preceding the claim.

5. Prohibited Use

You may not use KiPay to:

  • Process payments for illegal goods or services.
  • Launder money or circumvent AML/KYC requirements.
  • Resell or sublicense access to the KiPay API.
  • Reverse engineer or attempt to compromise the platform.

6. Termination

KiPay may suspend or terminate your account immediately for material breach of these terms, suspected fraud, or regulatory requirement. You may close your account at any time. Outstanding obligations survive termination.

7. Governing Law

These terms are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
